The "Corporate Business Bureau" sent my wife's new coporation a deceptive mailing with a form for: ANNUAL FEE: $150.00. The top of the form says "Annual Minutes of Shareholder & Directors disclosure Statement." And the main text of the form presents the text of various California legal codes concerning coporations and the requirement of written minutes of an annual meeting. The form looks offical, and only if you look closely do you notice the fine print "not affiliated with California Secretary of State" and "This is a solicitation for the order of services, and not a bill..." And of course there is no State requirement to file the minutes and pay a $150 fee. There is merely a requirement to hold an annual meeting and keep written minutes of if (which you can do with a pen and piece of paper in a couple of seconds entirely for free). The only time you'd ever need to produce such written minutes is if the the legitimacy of your corporation is called into question for tax purposes or lawsuits. This mailing is clearly trying to trick people into thinking this is from the gov't and that the money is a mandatory, gov't fee.
